In each engagement, we work closely with our clients by taking a direct, hands-on approach. Dependent upon the nature of the engagement, we provide a number of different financial services to our clients in our role as an intermediary:
Structuring, negotiation and closing of acquisitions and sales of companies and divisions, as well as joint ventures, strategic alliances, and leveraged and management buyouts. We serve our clients, as their needs dictate, in all aspects of merger and acquisition activities, from the sale of their companies to the development of acquisition strategies.
Design of optimal financing and capitalization structures and identification of the best sources of capital. We develop appropriate and achievable plans for raising debt and equity based on the client’s capital needs and the capacity of the financial markets to meet those needs, and use our contacts in the financial markets to marry our clients to the most appropriate institutions or other capital sources.
Structuring, negotiation, and closing of debt and equity transactions. We determine the optimal terms and conditions for the various parts of our client’s capital structure and then negotiate and close these transactions on their behalf.
Analysis of financial statements and development of projections and forecasts. We analyze our client’s past financial performance, current financial condition, and develop projections for the future to draw conclusions about strategies and transactions.
Assisting in corporate turnarounds and recapitalizations. We work with clients encountering operational or strategic financial challenges in stabilizing their financial position and developing a strategy for recovery.
Planning, structuring and execution of ownership transitions and exit strategies. We develop and execute strategies to transfer client’s ownership interests and management control to family or senior management.
Analysis and valuation of companies. As part of all of our merger and acquisition engagements, we perform a valuation of our client’s business or the targeted acquisition.
Due diligence and oversight. As appropriate to the engagement, we orchestrate our client’s due diligence efforts and typically play a pivotal role in assisting them in the management of strategy implementation and execution.
All of Macadam's engagements are characterized by the following:
Identification and achievement of shareholder objectives. No engagement can be successful without the identification of shareholder objectives. We help our clients identify and prioritize their objectives and then execute a strategy to achieve them.
Maximize shareholder value. Fundamental to all engagements is the objective of maximizing shareholder wealth. We believe that financial strategies and specific transactions are means to that end rather than the end in itself.
No pre-set solutions or products. We do not sell, promote or recommend particular financial products or solutions. We determine a client’s capital needs and shareholder objectives and then develop customized financial strategies to fit the circumstances.
Team effort. We capitalize on the diverse backgrounds of the members of the firm to bring creativity to each engagement. At least two professionals, including one or more principals in the firm, are involved in every engagement.
Relationship orientation. We do not believe that it is possible to serve the needs of our clients without understanding their businesses and ensuring that financial strategies are consistent with other strategies being pursued by both the business and the shareholders. Accordingly, we take a hands-on approach in assisting our clients in dealing with the many aspects of running their businesses and maximizing shareholder value. In turn, our approach often results in the development of long-term relationships with our clients where we serve in a variety of capacities.
Value added. We structure our business and compensation around providing value to our clients. We do not get involved in engagements where we cannot provide significant value and we price our services based on this value added.
Macadam assures three things to each client:
Performance. We perform in accordance with our client’s expectations, which are memorialized in the form of an engagement letter. We spend time at the beginning of each engagement ensuring that all parties understand what needs to be done while concurrently ensuring that we have both the expertise and the resources required to achieve those objectives.
Confidentiality. Our services routinely involve us in sensitive discussions and typically require that we deal with extremely confidential subject matter. This dictates the need for strict confidentiality in all aspects of our engagements. The members of Macadam have practiced and preached confidentiality throughout their careers and bring the same perspective to each engagement.
